The valid OSes are Windows XP, Windows Vista, or Windows 7. You could not for instance build a new computer and get Windows 8 for it for $39.99. There has been some speculation though that the Windows 8 Release Preview could serve as the valid prior OS, but I haven't seen where anyone actually tested that.
